These Terms and Conditions (“Terms”) govern your access to and use of the Actioner website and related services provided by Nova Era Labs, Inc. (“Actioner,” “we,” “our,” or “us”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement.
When you create an account, you must provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
If you are using the Services on behalf of a company or other legal entity (“Organization”), you represent and warrant that you have the authority to bind that Organization to these Terms. In such cases, “you” and “your” will refer to the Organization.
User Content: Data, text, files, or other content that you or your Organization submit to the Services.
Ingested Data: Emails, calendar events, meeting transcripts, and other customer interaction data that Actioner passively captures from your connected accounts (e.g., Gmail, Outlook, Google Calendar) via authorized OAuth integrations. Ingested Data is treated as User Content for the purposes of these Terms.
Output: The content generated by the Services, or by third-party AI platforms using data provided by Actioner, in response to User Content or other inputs.
Usage Data: Data about your use of the Services, such as logs, analytics, and technical information.
You retain ownership of your User Content, including Ingested Data. Subject to these Terms, Actioner grants you a license to use the Output.
You agree to use the Services only in compliance with these Terms and applicable laws. You will not:
Use the Services to infringe intellectual property rights.
Upload or distribute harmful, fraudulent, or unlawful content.
Attempt to interfere with or disrupt the Services.
Use the Services for developing or training machine learning or AI models outside of Actioner.
Reverse engineer, scrape, or copy the Services.
You retain all rights in your User Content, including Ingested Data. By submitting content or connecting your accounts, you grant Actioner a worldwide, non-exclusive license to access, capture, use, store, reproduce, modify, and display your User Content (including Ingested Data) only as necessary to provide and improve the Services. This includes processing your data to build your customer graph and making it available through third-party integrations such as Anthropic’s Claude via MCP.
Actioner grants you a license to use the Output for your internal business purposes, subject to these Terms. Where Output is generated by a third-party AI platform (such as Claude) using data provided by Actioner, that Output is also subject to the third-party platform’s terms of service. Output may be similar to that generated for other users, and Actioner makes no guarantee that Output is unique.
You may not:
Represent Output as being created by humans when it was generated by AI.
Use Output for medical, legal, or other professional advice without human review.
Rely on Output without independent verification.
The Services use AI models, both Actioner’s own and those operated by third-party platforms such as Anthropic’s Claude, that may generate inaccurate or incomplete information (“hallucinations”). You are responsible for reviewing Output before relying on it. Actioner provides Output “as is” without warranties of accuracy, completeness, or fitness for a particular purpose, regardless of whether the Output was generated by Actioner or by a third-party AI platform using data provided by Actioner.
Some features may require a paid subscription.
Subscriptions renew automatically unless canceled before the renewal date.
Fees are billed through authorized payment providers (e.g., Stripe) and are non-refundable unless required by law.
We may change pricing with prior notice. Continued use after changes take effect constitutes acceptance.
You are responsible for any applicable taxes.
We may suspend or terminate your access if you violate these Terms. You may stop using the Services at any time. Upon termination, your license to use the Services and Output ends.
Upon termination or cancellation of your account, Actioner will retain your User Content (including Ingested Data and your customer graph) for 30 days to allow you to export your data or reactivate your account. After this 30-day period, your data will be permanently deleted, unless retention is required by law or necessary to resolve disputes or enforce these Terms. You may request earlier deletion by contacting support@actioner.com.
We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date and notify you as appropriate. Continued use after changes constitutes acceptance.
The Services are provided “as is” and “as available.” We disclaim all warranties, express or implied.
Actioner is not liable for any indirect, incidental, or consequential damages.
Our total liability is limited to the greater of $100 or the amount you paid to Actioner in the 12 months preceding the claim.
Before bringing a claim, you agree to attempt to resolve it informally by contacting us. If unresolved, disputes will be settled by binding arbitration under the American Arbitration Association (AAA).
You waive the right to bring class actions or representative claims.
Any claim must be filed within one (1) year of the event giving rise to it.
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws principles.
You agree to indemnify and hold Actioner, its affiliates, officers, and employees harmless from any claims, damages, or expenses arising from your misuse of the Services or violation of these Terms.
The Services integrate with third-party platforms to deliver core functionality. In particular, Actioner makes your customer data available to Anthropic’s Claude through the Model Context Protocol (MCP) and other connectors. The Services may also include links to or integrations with other third-party services (e.g., Stripe for payments, Gmail and Outlook for email capture). We are not responsible for the content, services, availability, or practices of those third parties. Your use of any third-party platform is subject to that platform’s own terms of service and privacy policy.
Actioner does not use your data to train AI models, and requires that its third-party AI partners do not use your data for model training. However, you should review the data handling policies of any third-party platform you use with Actioner.
By using the Services, you consent to receive service-related communications electronically (e.g., emails, in-app messages). You may opt out of marketing communications but not essential service communications.
Actioner is not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, internet or telecommunications failures, government actions, or labor disputes.
